These Terms of Service ("Terms") govern your access to and use of answertree.com (the "Site") and, where you or your organization has a separate order form or subscription agreement with us, the Answertree software platform (the "Service"), operated by Answertree Ltd, a company registered in England and Wales (company number 14567441) with its registered office at The Quadrant, 99 Parkway Avenue, Sheffield, England, S9 4WG, VAT number GB 468 4574 45 ("Answertree", "we", "us", or "our").

By accessing the Site or using the Service, you agree to these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and that organization.

1. Description of the Service

Answertree provides a software platform that helps distributors, vendors, and resellers automate workflows and accelerate revenue across the IT channel. Features, availability, and pricing may change over time, and we may add, modify, or discontinue parts of the Service at our discretion, with reasonable notice where a change materially reduces functionality for existing customers.

2. Eligibility and Accounts

The Service is intended for business use and is not directed at consumers. You must be at least 18 years old and able to form a binding contract to use the Site or the Service. Where the Service requires an account, you are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly of any unauthorized use.

3. Subscriptions, Fees, and Trials

Paid access to the Service is governed by the order form, subscription agreement, or similar commercial document you or your organization enters into with us, which takes precedence over these Terms for billing, fees, and subscription-specific terms. Trials, demos, or evaluation access may be offered at our discretion and may be limited in functionality, duration, or availability, and may be modified or withdrawn at any time.

4. Acceptable Use

You agree not to:

• Use the Site or Service for any unlawful purpose or in violation of these Terms;
• Attempt to gain unauthorized access to the Site, the Service, or any related systems or networks;
• Interfere with or disrupt the integrity or performance of the Site or Service, including through malware, denial-of-service attacks, or excessive automated requests;
• Reverse engineer, decompile, or attempt to extract the source code of the Service, except where applicable law permits;
• Use automated means to scrape or extract content from the Site outside of standard, permitted indexing (e.g., search engine crawlers); or
• Misrepresent your identity or affiliation, or use the Site or Service to transmit unlawful, infringing, or harmful content.

We may suspend or terminate access for conduct that we reasonably believe violates this section.

5. Customer Content and Data

If you or your organization submit data to the Service as a customer (for example, quote, order, or other channel workflow content), you retain ownership of that data. You are responsible for ensuring you have the necessary rights to submit it and that your use of the Service complies with applicable law. Our processing of personal data submitted to the Service as a customer is addressed in the applicable order form, data processing agreement, or our Privacy Policy and GDPR page, as relevant.

6. Intellectual Property

The Site, the Service, and all related content, features, and functionality — including software, text, graphics, logos, and trademarks — are owned by Answertree or its licensors and are protected by intellectual property laws. Except for the limited rights expressly granted to you to access and use the Site and Service, no rights are transferred to you. You may not use our trademarks or branding without our prior written consent.

7. Confidentiality

In the course of using the Service, either party may receive non-public information about the other. Each party agrees to protect the other's confidential information using at least the same degree of care it uses for its own confidential information of similar nature, and not to disclose it except as permitted under an applicable order form or subscription agreement, or as required by law.

8. Third-Party Services and Links

The Site or Service may link to or integrate with third-party websites, products, or services that we do not control. We are not responsible for the content, accuracy, or practices of third parties, and linking to them does not imply endorsement. Your use of third-party services is subject to their own terms and privacy policies.

9. Disclaimers

THE SITE AND SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SITE OR SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. NOTHING IN THIS SECTION LIMITS ANY WARRANTIES EXPRESSLY SET OUT IN A SIGNED ORDER FORM OR SUBSCRIPTION AGREEMENT, WHICH TAKE PRECEDENCE FOR PAID USE OF THE SERVICE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANSWERTREE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS SECTION APPLIES TO USE OF THE SITE UNDER THESE TERMS; LIABILITY RELATED TO PAID USE OF THE SERVICE IS GOVERNED BY THE APPLICABLE ORDER FORM OR SUBSCRIPTION AGREEMENT. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW, INCLUDING LIABILITY FOR DEATH, PERSONAL INJURY, OR FRAUD CAUSED BY OUR NEGLIGENCE.

11. Indemnification

You agree to indemnify and hold Answertree harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your violation of these Terms or your misuse of the Site.

12. Term and Termination

These Terms remain in effect for as long as you use the Site. We may suspend or terminate your access to the Site at any time if we reasonably believe you have violated these Terms, without prior notice where circumstances warrant. Termination of Service access for paying customers is governed by the applicable order form or subscription agreement. Sections that by their nature should survive termination — including intellectual property, confidentiality, disclaimers, limitation of liability, and indemnification — will survive.

13. Governing Law and Disputes

These Terms are governed by the laws of England and Wales, without regard to conflict-of-law principles, and the courts of England and Wales will have exclusive jurisdiction over any dispute arising from these Terms or your use of the Site, unless a separate order form or subscription agreement specifies otherwise for the Service. Nothing in this section removes any statutory protections you are entitled to as a consumer or business under the mandatory laws of your country of residence, where applicable.

14. Changes to These Terms

We may update these Terms from time to time. We will update the "Last updated" date above, and where changes are material, we will provide reasonable notice (for example, via the Site or by email). Continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
